»The Exchange Offer under Takeover Law in the Event of Cumulative Application of German and US law. An Examination of Problem Constellations with Solution Proposals«: The author examines problem constellations that arise when carrying out an exchange offer under takeover law. A particular focus is on analyzing the compatibility of the requirements of German and US takeover law. The author analyzes in which takeover constellations a cumulative application of the two takeover regimes occurs and how resulting conflicts of law can be resolved.

Maximilian Licht studied law at the University of Münster and Texas Tech University School of Law. His studies were supported by the German Academic Scholarship Foundation. He completed his legal clerkship at the Higher Regional Court of Düsseldorf with stages at the German Embassy in Singapore and at major international law firms. Following his second state examination, he worked as a research assistant at Kirkland & Ellis International LLP while pursuing his doctoral thesis. He joined the law firm as a lawyer in the Corporate/M&A department in 2024.
