»Dismissal and Termination of a Member of the Management Board under Pressure from Third Parties«: The thesis examines the admissibility of dismissing and terminating a member of the management board under pressure from third parties. After presenting the fundamentals of stock corporation law, it examines the compatibility of dismissal under pressure with the basic principles of corporate law. The thesis develops restrictive requirements de lege lata and de lege ferenda for dismissal and termination under pressure. Finally, it evaluates synchronization and linkage clauses.

Caroline Messner studied law at the Bucerius Law School in Hamburg and at the University of Stellenbosch in South Africa from 2017 to 2022. After completing the First State Examination in Law, she began her doctoral studies in 2023. Alongside her doctoral research, she worked as a research assistant at the Chair of Civil Law, Labor Law and Law of Civil Procedure (Prof. Dr. Matthias Jacobs) at the Bucerius Law School. Since April 2025, Dr Caroline Messner has been a legal trainee (Rechtsreferendarin) at the Hanseatic Higher Regional Court.
