»Dissolution without Liquidation and Universal Succession in Lieu of Liquidation«: This thesis examines the consequences under liability and insolvency law of the departure of the penultimate partner from a partnership. The lack of relevant provisions in partnership law has thus far been compensated for primarily by analogy to the liability regime under inheritance law. However, this approach does not sufficiently take into account the dogmatic principles of liability limitation and separation of assets, nor the considerations of merger and liquidation law.

Jonas Wilm studied law in Freiburg im Breisgau and Würzburg. After passing his first state law examination, he initially worked as a research assistant at an international law firm in Berlin before undertaking his legal clercship in the district of the Bamberg Higher Regional Court and passing his second state law examination. He then worked as a research assistant at the Institute for Procedural Law and Insolvency Law at the University of Cologne (Prof. Dr. Christoph Thole) while pursuing his doctorate. He is currently a notary assessor in the Free State of Bavaria.
