»Silent Acquisitions in European Merger Control. An Analysis of the Interpretation of Art. 22 Regulation (EC) 139/2004«: This study examines the legality of the European Commission's decision to accept referral requests under Art. 22 Regulation (EC) 139/2004, when the merger does not meet European or national thresholds (»silent acquisition«). Economic studies show that takeovers of small start-ups rarely cause significant competition concerns. The legal analysis reveals that the broad interpretation of Article 22 of Regulation (EC) 139/2004 is indefensible and not in conformity with primary law.
Autorenportrait
Philipp Winkler studied law at the University of Konstanz, specializing in Competition and Intellectual Property Law. After completing his First State Examination in February 2023, he worked as a research assistant at an international law firm in Stuttgart until September 2024. Since October 2024, he has been a legal trainee at the Munich Regional Court I and a research assistant at the professorship of Law of Digital Goods, Economic and Competition Law, held by Prof. Dr. iur., Dr. rer. pol. Mark-Oliver Mackenrodt, LL.M. (NYU) at the Technical University of Munich.
